I think Ducks is starting to fill in their rosters with young players starting with Ds, then in goals. Adding Phaneuf will ruin their plan. Besides Toronto might ask for Ducks young players.

Similar deal might work for Edmonton. They won't be done their rebuild for 7 or so years.
