Their SEC filings would be public as they are a publicly traded company, but I would be surprised if they publicly say how many spam accounts they have?
But it all depends on the actual purchase contract. If Musk had a clause where he can back out if more than 5% of the accounts are spambots, then it is a different story.

Hence asking if the text of the deal is available

The social media platform said in a May 2 public filing that fewer than 5% of its 229 million daily active users who are targeted with advertising are "false or spam" based on an internal review of a sample of its accounts. It did not specify how that figure accounted for the automated, parody and pseudonymous profiles permitted on the platform.
Researchers estimate that anywhere from 9% to 15% of the millions of Twitter profiles are automated accounts, or bots, based on one early study, from 2017, and more recent research from a firm that monitors online conversations.
"They have underestimated that number," said Dan Brahmy, CEO of the Israeli tech company Cyabra that uses machine learning to identify fake accounts.
Cyabra estimates the percentage of inauthentic Twitter profiles at 13.7%.

But it all depends on what kind of protection Musk has on the sale. With that kind of money involved, one would think he'd do his due diligence.

The out he has is if the regulatory filings were false - he can get out of it. That is why this is being discussed.
If his lawyers or whoever found an easier way out - he would be talking about that.

3. Profit??? Tough to guess his end goal, I'd say he saw Twitters constant expansion and bias of their censorship programs would eventually create conflict with him and his plans.
It's getting hard to think that he was that serious about buying twitter. Twitter's bias and number inflating are poorly kept secrets and I doubt Elon is overly surprised by anything being revealed. I did hear that he'd take on $1B penalty for backing out, but I can't say how it'd actually play out. Maybe smacking down Twitter is worth $1B to him?

What are his plans that Twitter's censorship would hinder? Being a wanker on his twitter account?
He bought it - the tech stock's all tanked, Tesla's stock started tanking - and he got buyer's remorse (And its also no longer worth what he was offering for it after the tech stock implosion). There was no master plan to hurt Twitter here.

He's made a staggering fortune by manipulating digital currencies on twitter and all of his businesses benefit greatly from the reach he has on twitter. All of his primary money-making endeavours are deeply tied to twitter. If he got banned, there's no way for him to replace that reach and it would cost him billions. He struck down his enemy before they were strong enough to strike him.

He could just stop being a dink on twitter and save himself $1 billion dollars plus whatever he lost on the Telsa stock drop.

The only plausible 'master plan' is that he wanted to divest of a bunch of Telsa stock without triggering alarm and the Twitter purchase gave him cover for that.
But 99% he just got buyers remorse and is trying to get out of it at the current purchase price.

The 20% spam account number he said is made up, just like his timelines on FSD availability. No surprise there. Must be nice to say whatever you want with no consequences.

Might as well ask water to stop being wet. He's got a long, long ways to go before being a dink on twitter hurts him more than it helps him.

Well I guess its worth billions of dollars to him to be a dink on twitter if this was a master plan.

I'm not a fan (because I don't respect what these people do to attain their power) but I do think he deserves a lot of credit for taking Tesla to where few people thought would be possible in a relatively short amount of time. I don't know if anyone else could have done it. I'll stop short of calling him a genius but it's clearly he's extremely smart, shrewd, greasy, ruthless, etc. He's basically has all the required ingredients to make for the perfect CEO in today's business. Of course being human means that his ego is getting the better of him but make no mistake he's no fraud. He's the real deal.

He doesn't. In fact, he specifically waived the right to do due diligence on non-public information so he could close more quickly (likely to stop others from having time to make an offer). And he has publicly acknowledged the bot accounts in the past, so they can prove he knew it was an issue. Even if their filings are wrong that probably isn't material adverse (eg the Abbott/Alere deal closed even though Alere had to state their filings were unreliable due to bribery issues)

Musk seems quite upset about being de-listed by the Nasdaq ESG. His whole feed is worth a visit for. Oh, he's also switching to vote Republican. His transition to super-villain is moving rapidly.

You can view them here, it's tough to say what his meltdown of the day is really about.
I do wonder how much Bill Gates shorted Tesla, and if he's been able to cash in on it...haven't seen that info out there.

Love how he's also (again) priming his army of neckbeards to defend his honour regarding some nebulous stuff that's apparently coming down the pipe over the next few months.
