Well, that's an easy one.

Transporter chief will keep trying to get a lock on them. Then the Enterprise fires the photon torpedo, which destroys the Jenolan from the outside in. Meaning that at some point the shields were destroyed, but the hull was still intact. By getting a lock at that very millisecond they were able to beam them off.

Because as we all know- as long as you get a lock before the ship explodes, the people you are beaming up will survive.

But as Wikipedia explains:

It is not clear whether the unit is being used to measure time or distance in this context, however later Expanded Universe novels attributed the claim to the ability of the Millenium Falcon to reach the planet Kessel in the shortest distance despite having to pass through or near a very dangerous region of space (the "Maw Cluster") which most other ships would circumvent. Thus, reaching Kessel while traveling less than 12 parsecs is meant to show superior piloting ability or ship worthiness because of the danger of traveling so close to the Maw Cluster in order to save time.
