Well it's not tough but it aint no walk in the park either. If you haven't done anything like it before, maybe leave it to the pros. Memory Express could do it for you no problem.
That being said, perfect excuse to upgrade

The hardest part is making sure your existing process and ram will still work with the new mobo. If it's older than a couple of years, you are probably screwed.
Other than that, it's not terribly difficult and the manufacturers provide really easy to follow instructions now. The worst part is probably plugging the in tiny cables for the power, reset, and power saving buttons!
Oh, one more tip....RAM only fits in one way. Don't try to force it.

If your computer is new enough to warrant a MB swap then I say its about 200 bucks and a six-pack away.
However, if its time for an upgrade, do everything. You can have a seriously kick-ass machine for email/interner/photo/mp3/video/facebook/dl'ing for about 500 bucks.

sounds like fairly new parts.. i would assume the old ram and such will work in the new mobo. Worst case, take one of your ram with you when u buy your new mobo and see if it fits.
It's easy enough to do if you are somewhat comfortable doing it. Just take your time when doing it.

MemEx usually has some slightly older boards kicking around - typically RMA's they've received back for warranty claims.

I googled, found a bunch of stuff on there.
May build a new PC, but take some parts from the old one.

Nah, most new boards have adapters that you can plug those cables into and then plug the whole adapter into the mobo.
