Yeah, if an employee has already looked at other offers, he's not happy here. And if you don't know why he's not happy here, you're not doing your job as a manager. There is no benefit for the company to counter offer other than it's a scam. And in the small case the counter offer is genuine, the middle manager should be fired for letting it go this far and costing the company money. What's the point of performance evaluations if you don't even know your employee is unhappy?
