I'm not disagreeing that there IS a contract that MAY become legally binding upon the offering party given the fulfilment of a condition precedent. It is, however, not binding until that event occurs. This is quite common, actually--but the
law is that the contract forms when the condition is fulfilled, notwithstanding that another party can step into the offeror's shoes on the same terms.
