Its two separate negotiations. Often the owning club will allow the buyer to negotiate personal terms to see if a deal can be done. If a club cant agree on personal terms then theres no sense negotiating a transfer fee anyways, and vice versa.
For instance, and nothing against United in this situation, but didnt they agree a fee with Inter for Wesley Sneijder but it fell apart on personal terms? He wanted a staggering amount of cash and United just said no.
I may be totally wrong too...
