I don't think GWI is an issue at this point
If the court cannot issue a TRO due to separation of powers how can they overturn a vote? Same logic applies. They could sanction COG but I don't think they can overturn or even force the vote to happen again.
If they go after COG on the gift clause I would think they would have to post a bond of some type in case they lose the case and cause the deal to fall through. Court would have to allow for a form of recourse. If that were to occur COG could definitely prove millions in damages and essentially own GWI or force them to shut down. Not sure GWI would risk its existence for this
