See I think this is all up to circumstantial factors of the situation, it's really hard to say weather this is definitively breaking code or not. On the one hand you're probably going to be doing your pal a favour if he's been in the 'friend zone' for a long period of time, because it will force him to get over her.
On the other hand he'll undoubtedly be pissed and feel humiliated, which is what the code is trying to prevent (sometimes).
Personally if the girl has given your friend the "I only want to be friends" talk. Than it's fine for you to jump right in, without breaking code.

I'd say there's only
one rule regarding this situation. If your pal still has strong feelings for her (we aren't talking quick lays here), then I'd say drop it. He will undoubtedly feel like he's been stabbed in the back, then he has to suffer by seeing you two together all the time. If he's fully admitted it won't happen, then make sure, then go for it.
